The Seller is identified by the details/name shown on the payment page, in the bill, the payment system invoice or the payment documents. SUBJECT MATTER OF THE AGREEMENT 1.1. The Provider shall provide the services specified on the website, and the Student shall accept and pay for the selected service on the terms and in the manner set out in this Agreement. 1.2. The Provider shall independently determine the list of services that may be provided to the Student under this Agreement and publish that list on the Provider’s website, social media pages and in advertising materials, and shall also communicate this information to the Student through any messaging application upon request. 1.3. The service under the Agreement consists of providing the Student with access to the relevant Learning Materials on a Platform designated by the Provider. Its content depends on the type of services and Pricing Plan selected by the Student and is detailed (titles and number of topics, format, quantity and types of materials, and schedule) in the service description on the Provider’s website and in the Learning Materials Programme. 1.4. The services are informational, instructional and consultative in nature and form part of the author’s wellness programme. The services are not educational services subject to licensing under the applicable laws of Ukraine, nor do they constitute a medical service, diagnosis, treatment, rehabilitation, medical advice or a treatment plan, and they do not replace an in-person consultation with a physician. 1.5. The Student shall independently assess any restrictions on participation and, if they have any illnesses, complaints, contraindications or doubts, shall consult their treating physician in advance regarding the suitability of participating in the course and performing individual practices. 1.6. Access to the Learning Materials may be limited in duration, as specified in the relevant Pricing Plan. 1.7. The Provider reserves the right to change the content of a service, provided that the corresponding change is made to the service description on the Provider’s website before the Student purchases that service. 1.8. The Provider may market (sell) services and/or provide access to the Course either directly or through Licensees. Exclusive intellectual property rights in the Learning Materials/Course shall remain with the Rights Holder and shall not pass to either the Student or the Licensee. 1.9. Regardless of whether access to the Course is sold by the Provider or a Licensee, the Student shall comply with the rules and restrictions established by the Provider/Rights Holder and published on the website and/or the Platform, including the provisions on intellectual property rights, the prohibition on distributing materials, the rules of conduct and the grounds for restricting/terminating access. ACCEPTANCE OF THE OFFER 2.1. This Agreement shall be deemed concluded when the Student accepts the public offer. Acceptance of the offer means making full payment for the services in accordance with the selected Pricing Plan, in the manner and on the terms specified in this Agreement. Where services are paid for in instalments, acceptance of the offer is confirmed by the Student’s payment of the first instalment. 2.1.1. Payment for the services constitutes acceptance of the terms of this public offer concerning the rules for using the Learning Materials/Course, access to the Platform, conduct requirements, restrictions, liability for infringement of intellectual property rights and other rules published by the Provider on the website and/or the Platform. The Seller (the person accepting payment and handling financial transactions with the Student) shall be either the Provider or a Licensee, depending on whose details/name are shown on the payment page, in the bill, the payment system invoice or the payment documents. Matters concerning payments, refunds, financial settlements and primary payment documents shall be governed by the Seller’s terms and/or a separate agreement between the Student and the Seller. 2.2. By making payment, the Student confirms that they have read the terms of the Provider’s offer. If the Student disagrees with any provision of this Agreement, they must not take any action to accept the offer and must immediately stop using the Provider’s website. 2.3. Where the Agreement is concluded on behalf of a legal entity, the legal entity’s representative must have the appropriate authority and provide evidence of that authority to the Provider. A person accepting the offer on behalf of a legal entity represents and warrants that they are authorised to act on behalf of that legal entity and have sufficient authority to accept the terms of the offer. 2.4. By using the website and its free materials or services available in the publicly accessible sections of the website, the Student enters into an agreement with the Provider on the use of the website materials. TERMS OF SERVICE PROVISION 3.1. To receive services under this Agreement, the Student shall provide the Provider with the following information: surname, first name, patronymic, telephone number, email address, a link to their Instagram page (username), usernames in messaging applications and, in some cases, a photograph. The Student is responsible for the accuracy, completeness and reliability of the information provided, for independently taking account of restrictions and contraindications and, where necessary, for consulting their treating physician before starting classes. 3.2. If the Provider requires additional information, it may request it from the Student. If the Student refuses to provide the necessary information, or if the information provided is incomplete or its reliability is in doubt, the Provider may decline to provide the services, without compensation for losses, until the requested information is received. 3.3. The services are provided by granting access to the Learning Materials. 3.4. The Provider may offer a Pricing Plan which, in addition to access to the Learning Materials posted on the Platform, includes review of homework completed by the Student, with feedback in the form of comments and/or consultations from the Provider and/or engaged third parties. 3.5. A Pricing Plan may include a specified number of personal consultations (individual and/or group consultations with other participants, online or in person) provided to the Student by the Provider and/or engaged third parties. The number of such consultations shall be determined by the Programme, and their schedule shall be communicated to the Student by the Provider. 3.6. Pricing Plans may include additional benefits, such as prizes and bonuses, the conditions for receiving which shall be communicated to the Student through the resources designated by the Provider for interaction (an Instagram page, Telegram channel, Telegram group and other Platforms). 3.7. The service commencement date shall be specified on the Provider’s website, social media pages, Telegram channels or in advertising materials. The service shall be deemed to have commenced when access is granted to the Platform on which the Learning Materials are posted, or when access is granted to the Learning Materials if the service terms do not provide for the use of specialised software (a Platform). 3.8. The service period shall be specified in the Pricing Plan. In some cases, a Pricing Plan may provide for continued access to the Learning Materials and/or the Platform after completion of the Course for a specified period set out in the Pricing Plan. The Provider may extend this period by notifying the Student by email, messaging applications and/or messages on the Platform. 3.9. The Student may request that the services be rescheduled to other calendar dates and take the Course with a subsequent cohort (under an equivalent service package of the same value as the package purchased). Rescheduling is permitted only once and must be requested no later than two weeks after payment. No refund shall be made in this case. 3.10. Consultations may be rescheduled no later than 24 hours before the start of the session and no more than once a month. Rescheduling shall be arranged by notifying the support service during the designated hours of 09:00 to 21:00. If notification is late or is not given, the consultation shall be deemed to have taken place and shall be payable in full (100%). 3.11. The Parties agree that no certificates of work performed shall be prepared or signed upon provision of the services. The service shall be deemed provided in full when the Student is granted access to all Learning Materials specified in the Programme and/or the description on the website. Access to the Platform (Telegram/Instagram/applications, etc.) shall be provided by the Provider/Rights Holder or persons authorised by it. Entitlement to access shall be confirmed by payment to the Seller and the Student’s provision of the information necessary for identification (email/username/login). The Provider may request proof of payment (invoice/receipt/screenshot) for purchases made through a Licensee. A Licensee may not change the Course content, access rules, restrictions on the use of Learning Materials or other terms established by the Provider/Rights Holder, nor may a Licensee grant Students rights beyond the scope of this offer and the published rules. 3.12. The Provider may engage any third parties (contractors) to perform this Agreement without prior agreement with the Student. Where third parties are engaged to provide services, the Provider shall be liable to the Student for their actions and for the quality of the services provided. The Provider/Rights Holder retains the right to establish mandatory rules for access to the Course and use of the Learning Materials and to take protective measures (including restricting/terminating access) if those rules are breached, regardless of whether the sale was made by the Provider or a Licensee. 3.13. The Provider does not guarantee that the services will meet the objectives and expectations of the Student or third parties, nor does it guarantee that the Student will achieve any particular result, as the results achieved by different Students using the same services may vary significantly. Results depend on each Student’s starting point, the accuracy with which techniques are performed, their understanding of the theoretical and practical parts of the Learning Materials and other factors. 3.14. The case studies and success stories presented on the website and social media are provided solely to demonstrate the results of particular individuals and do not constitute a promise or guarantee that the Student will achieve similar results. 3.15. The Student shall submit complaints about the quality of the services provided to the support service via Telegram. The complaint review period shall be 30 (thirty) days from receipt. Upon expiry of that period, the Provider shall decide whether to uphold the complaint or refuse a refund. 3.16. The Student bears the risk and adverse consequences of the loss, unlawful possession or technical interception of information, access to the Platform and other data if the Student loses a mobile device, access is gained to the Student’s social media accounts, etc. The Provider shall treat any person using the Student’s identifying details (telephone number, password, login, etc.) as the Student and shall not be liable if that is not the case. 3.17. If the terms of service provision specified on the Provider’s website conflict with the terms set out in this Agreement, the provisions of this Agreement shall prevail. 3.18. By starting the training, the Student confirms their acceptance of this public offer. 3.19. The Provider reserves the right to remove a Student for breaching the public offer without refunding the amounts paid. 3.20. The Provider may decide to remove a Student without further warnings in the event of serious breaches. 3.21. The Provider does not provide tutor support, individual or other personalised services to persons to whom at least one of the following circumstances applies: 1) The person is permanently resident in the Russian Federation or the Republic of Belarus; 2) The person is a tax resident of the Russian Federation or the Republic of Belarus; 3) Payment is made from an account, card or other payment instrument opened with a bank or payment institution in the Russian Federation or the Republic of Belarus; 4) The person acts on behalf of, in the interests of or at the expense of a person meeting one of the criteria specified in this clause; 5) The person is included in Ukraine’s sanctions lists, or the provision of services to that person or acceptance of payment from them is prohibited or restricted by Ukrainian law. By paying for the programme, the Student confirms, under their personal responsibility, that none of the circumstances specified in subclauses 1–5 of this clause applies to them. If reasonable doubts arise, the Provider may request documents or information from the Student to verify those circumstances. Until verification is completed, the Provider may suspend tutor support, individual and other personalised services. If it is established that the Student has provided an untrue confirmation, the Provider may refuse to provide or discontinue such services. Any refund shall be determined in accordance with the other terms of this Agreement and Ukrainian law. PAYMENT FOR SERVICES 4.1. The price of the services shall be determined according to the Pricing Plan selected by the Student, as specified on the Provider’s website or in electronic messages sent to the Student before public sales begin on the website. 4.1.1. Where the Course is purchased through a Licensee, payment shall be accepted by the Licensee as the Seller. The Student shall resolve all matters concerning payment, refunds, payment currency, payment system fees, primary payment documents (invoice/till receipt/payment receipt) and financial claims directly with the relevant Seller. 4.2. The final price of the services in the payment currency (EURO) shall be displayed on the payment page and recorded in the payment system’s electronic invoice or in the bill issued to the Student. If provided for by the Programme terms, the Student shall be offered the option of paying in instalments. 4.3. The price of the services does not include additional bank or payment system fees or currency conversion costs. 4.4. Payment for the services shall be made by transferring funds to the Provider’s/Seller’s account or through the online payment systems used by the Provider/Seller. 4.5. The Provider may, at any time and at its discretion, change the payment method for the services and/or discontinue a previously offered payment method, offering alternative payment methods. 4.6. If the services are paid for by bank transfer, the Student shall notify the Provider of the payment and send an image of the documents confirming payment to the Provider’s email address, info@5d-regeneration.com, or via the messaging applications (Viber / Telegram / WhatsApp) specified on the Provider’s website. 4.7. The services shall be deemed paid for when the funds are credited to the Provider’s bank account. 4.7.1. Instalment terms shall apply only if instalments are offered by the relevant Seller and agreed with the Student. For purchases through a Licensee, the payment schedule, instalment terms and late payment penalties shall be determined by the Licensee, unless otherwise specified by the Provider. 4.8. Payment in instalments. 4.8.1. Where the Course is paid for in instalments, the Student undertakes to make payments strictly on the dates and in the amounts specified in the agreed payment schedule. The payment schedule may be provided to the Student in their personal account, on the payment page, in the bill or in a written message from a tutor and/or another representative of the Provider (including via messaging applications and/or email). 4.8.2. Late payment. Late payment means the Student’s failure to make a scheduled payment by the due date, regardless of the reasons for the delay. 4.8.3. Grace period. No penalties shall apply during the first 6 (six) calendar days of delay (the grace period). From the 7th (seventh) calendar day of delay, the penalty provisions of this Agreement shall apply. 4.8.4. Late payment penalty (10% per month). Calculation procedure. From the 7th (seventh) calendar day of delay in paying for the Course in instalments, the Student shall pay the Provider a penalty of 10% (ten per cent) of the overdue payment amount for each month of delay. 4.8.5. The penalty shall accrue from the 7th calendar day of delay and shall be payable until the overdue payment amount is repaid in full. 4.8.6. For the purposes of this Agreement, a month of delay means a period of 30 (thirty) calendar days starting from the 7th day of delay. 4.8.7. A partial month of delay shall count as a full month. This means that, if the delay lasts (counting from the 7th day) from 1 to 30 calendar days, the penalty shall be charged for 1 month; from 31 to 60 calendar days, for 2 months; from 61 to 90 calendar days, for 3 months; and so on. 4.8.8. The principal debt remains due. Payment of the penalty shall not release the Student from the obligation to pay the overdue payment amount (the principal debt) in full. 4.8.9. The Provider’s right to suspend access. If any payment is overdue, the Provider may temporarily suspend (block) the Student’s access to the Course, including learning materials, lessons, recordings, assignments, reviews, Course chats, live broadcasts and personal account features, until the overdue debt and accrued penalty are paid in full. 4.8.10. Communication during suspension of access (minimum means of contact). Suspension of access to the Course shall not restrict the Student’s right to contact the Provider to explain the reasons for the delay and agree on arrangements for repayment of the debt. 4.8.11. During the suspension of access, the Student shall retain the ability to contact the Provider/tutor through a separate communication channel that does not require access to the Course (email and/or a messaging application and/or the support service). 4.8.12. The Provider shall consider the Student’s request within a reasonable time; however, such a request shall not constitute grounds for automatic restoration of access without payment of the overdue debt and accrued penalty (if applicable). 4.8.13. Any individual payment deferral, change to the payment schedule or waiver/reduction of a penalty shall be permitted only upon written confirmation by the Provider (including in a message from the Provider’s tutor/representative). 4.8.14. Suspension period and consequences. During the suspension of access, the provision of training and/or support services within the Course shall be deemed suspended as a result of the Student’s breach of the payment terms. The Provider shall not be obliged to provide access to Course materials or feedback within the Course until the overdue payment is settled. Missing lessons, live broadcasts, reviews, assignments and other activities within the Course while access is blocked shall not constitute grounds for compensation, price recalculation, a refund or an extension of the training period, unless expressly provided otherwise in the Agreement. 4.8.15. Restoration of access. After full payment of the debt and accrued penalty, access shall be restored within 24 (twenty-four) hours of payment being confirmed to the Provider and/or by the payment system. 4.8.16. Suspension of access does not constitute termination of the Agreement. Suspension of access shall not terminate the Agreement or release the Student from fulfilling their payment obligations under the payment schedule. 4.8.17. Legal effect of messages from the Provider’s tutor/representative. The Student confirms that written messages from a tutor and/or another representative of the Provider specifying payment dates and amounts constitute a proper means of agreeing the payment schedule and notifying the Student, and have legal effect under this Agreement. WITHDRAWAL FROM THE AGREEMENT 5.0. If payment has been made to a Licensee, refunds, the withdrawal procedure and the handling of financial claims shall be administered by the Licensee as the Seller. The Provider/Rights Holder is not the recipient of the funds in such cases and shall not make refunds in respect of payments accepted by a Licensee. 5.1. After paying for the services, the Student may decline the services and request a refund, provided that notice of withdrawal is given before the course begins and no later than after viewing the first lesson of the course. Withdrawal from the Agreement after that deadline is not possible, and the Provider/Licensee shall not refund the Student, as the funds are applied to cover the Provider’s/Licensee’s costs of providing the services. 5.2. To decline the services and arrange a refund, the Student shall notify the Provider/Licensee through the support service. The Provider/Licensee shall acknowledge receipt of the withdrawal request by sending a notification to the email address provided when placing the order. 5.3. To arrange a refund, the Student shall provide the following information: the full name and email address provided when placing the order; the name of the Pricing Plan; the order date; payment information; the reasons for declining the services; and any other necessary information. If the Student fails to provide the necessary information, the Provider/Licensee may refuse the refund, and the funds shall be applied to cover the Provider’s/Licensee’s costs. 5.4. If the Student submits a refund request within the prescribed period and provides all necessary information, the Provider/Licensee shall refund the funds within 14 (fourteen) days from the date on which the complaint is reviewed. 5.5. The amounts paid by the Student shall be refunded after deduction of any applicable online payment system fee and the cost of the modules/lessons made available for study. 5.6. The Provider/Licensee shall not reimburse the cost of the services in the following cases: if the Student did not use the services (did not view the course) for any reason; if the Student purchased learning materials provided in the form of consultations, support, electronic books or manuals; if the materials do not meet the objectives and expectations of the Student or third parties; if the Student was unable to use the services for reasons beyond the Provider’s control (lack of software, technical limitations, unwillingness to use the Platform, etc.); if the Student did not achieve the desired results, failed to take account of contraindications or restrictions, failed to consult their treating physician despite having illnesses, complaints or doubts, or misunderstood the theoretical or practical part of a class. 5.7. Regardless of who made the sale, if the Student breaches the rules of this offer and/or the Platform rules, the Provider/Rights Holder may restrict or terminate access to the Course. The financial consequences (including any possible refund) shall be determined by the Seller in accordance with its terms and applicable law. RIGHT TO USE THE MATERIALS 6.1. When receiving the services, the Student obtains access to informational and learning materials in which the intellectual property rights belong to the Provider or third parties engaged by it. The Provider/Rights Holder may grant Licensees non-exclusive licences, including the right to distribute (sell) access to the Course. Such a licence does not constitute an assignment of exclusive rights and does not result in exclusive rights passing to either the Licensee or the Student. 6.2. The use of content and materials received in the course of service provision is restricted exclusively to the Student’s personal purposes. Commercial use without the Provider’s written consent is prohibited. The sole exception is the “5D Regeneration Method Expert” course. If the materials originate from the “5D Regeneration Method Expert” course, the Student may use them for commercial purposes, but in accordance with clauses 6.5, 10.15 and 10.16. 6.3. Copying, modifying, distributing or transferring materials to third parties without the Provider’s permission constitutes an infringement of intellectual property rights. 6.4. Any infringement of copyright or related rights entails civil, administrative and criminal liability and must cease at the Provider’s request. 6.5. The Student may publicly quote or copy part of the Learning Materials or the Course solely for the purpose of publishing reviews of the Provider (on social media), to the extent necessary for those purposes. Attribution of authorship (an active link to the Provider’s Instagram page) is mandatory. 6.6. If the Provider determines that materials distributed by the Student and/or the extent of their distribution infringe the Provider’s intellectual property rights, the Student shall immediately remove all distributed materials and take any other action required by the Agreement and/or requested by the Provider. 6.7. The Student may not transfer their rights under this Agreement to third parties without the Provider’s written permission. 6.8. The Student is prohibited from reselling access to the Course, transferring access to third parties, organising “group purchases”, creating mirrors, archives or recordings, or otherwise distributing the Learning Materials. RIGHTS OF THE PROVIDER 7.1. To obtain from the Student the information necessary to provide the services. 7.2. To engage third parties in providing the services at its discretion (under cooperation arrangements). 7.3. To independently choose the form (methodology) of service provision and develop the Programme. 7.4. To suspend the provision of services in whole or in part if their provision is impossible for technical or other objective reasons. 7.5. To change the service commencement date at any time (by no more than one month) and/or the quantity of informational materials (classes) in the Course, having notified the Student in advance through a resource selected by the Provider for interaction (an Instagram page, Telegram channel, Telegram group or another Platform). 7.6. To extend the schedule and/or duration of service provision. 7.7. To unilaterally decline to provide further services without refunding amounts paid in the cases specified in this Agreement and if the Student deliberately fails to follow the techniques for performing practical assignments. 7.8. To introduce and withdraw various discounts, promotions and benefits and establish discount and loyalty programmes without agreement with the Student. 7.9. If it is discovered that the offer has been accepted by a person who lacks full civil capacity to act, the Provider may refuse to provide the services until the appropriate written consent is obtained from that person’s legal representative. 7.10. To remove or move any content posted by the Student if it infringes third-party rights or legal requirements. 7.11. To issue written warnings, temporarily block the Student’s account, suspend the provision of services or terminate the Agreement if the Student breaches the content posting rules. OBLIGATIONS OF THE PROVIDER 8.1. To provide the services specified in this Agreement on time and in full. 8.2. To inform the Student, upon request, of the progress of service provision, orally, by email or by other means. 8.3. To provide the Student with technical support through chats in messaging applications (Viber, Telegram) or another communication channel selected by the Provider, to resolve technical difficulties that may arise during service provision. 8.4. To inform the Student of any circumstances that prevent or may prevent the provision of services to the required standard and on time. 8.5. Not to disclose private information about the Student or grant third parties access to it, except as provided by law and this Agreement. RIGHTS OF THE STUDENT 9.1. To receive complete and accurate information on the scope of the services provided, as well as explanations of matters arising in connection with service provision. 9.2. To request a refund of amounts paid in the cases and on the terms specified in this Agreement. 9.3. To make audio or video recordings of Learning Materials, consultations and lectures delivered during service provision only with the Provider’s prior consent. OBLIGATIONS OF THE STUDENT 10.1. To pay for the services on time in accordance with the terms of the Agreement. 10.2. To familiarise themselves with the terms for receiving services, recommendations for completing the programme, contraindications and restrictions on participation and, if they have any illnesses, complaints or doubts, to independently consult their treating physician. 10.3. To provide the Provider with accurate information concerning their personal data. 10.4. To follow the Provider’s recommendations regarding the performance of practical assignments and the technical setup of communications. 10.5. To use the services personally only, not to transfer access to third parties and not to copy and/or download the Learning Materials or links to them. 10.6. Not to use the Learning Materials for commercial purposes without the Provider’s written consent. 10.7. To observe accepted standards of social communication when interacting with the Provider, third parties and other participants. 10.8. The Student shall follow the tutors’ recommendations for completing the programme and the established working procedures. The Student shall take account of restrictions on performing individual practices specified by the tutor as part of educational support. If certain practices are not recommended, the Student shall comply with those restrictions. 10.9. The Student shall show respect for tutors, instructors and other training participants. 10.10 Aggression, rudeness, disrespectful behaviour and any actions that threaten the health or safety of the Student or other people or disrupt the learning process are prohibited. Harassing, manipulative or toxic interaction involving emotional pressure, frequent unjustified demands or disregard for the support format constitutes a breach of the offer terms and shall result in termination of the Agreement without a refund. 10.11. A Student shall receive a warning for a first breach of the public offer. A repeated breach shall result in removal from the course/courses without refunding the amounts paid. 10.12. The Student undertakes to provide the necessary photographs requested by the Tutor before access to the course materials is granted. Photographs are a mandatory element of visual assessment for educational purposes and of recording the Student’s starting point, which is necessary for providing support and tracking progress through the course. If the Student fails to provide photographs within one week of paying for the course, the Provider may: -> refuse to grant access to the course; -> cancel the Student’s participation in the programme; -> refund the amounts paid in full, less any payment system fees. In any event, the Provider shall not be liable for the Student’s achievement or non-achievement of results, as the ultimate effect depends on numerous individual factors, including, without limitation, the degree of compliance with recommendations for completing the programme, the Student’s starting point, regularity of practice and other personal circumstances. Photographs are required solely for visual assessment for educational purposes and to enable support to be provided. Their absence makes support impossible but does not affect the Provider’s responsibility for results: no such responsibility is assumed under any circumstances. 10.13. If the Student purchases the “5D Regeneration Method Expert” course, the Student acknowledges and accepts that the certificate issued by Provider upon successful completion of the course and passing the examination is not a state licence, an official authorisation or a document granting the right to conduct in-person practical work with other people in a medical, wellness or other professionally regulated capacity. The Student undertakes to independently comply with the laws of their country of residence and/or the country in which they carry out their activities. If the laws of the relevant country prohibit or restrict such activities without a state licence or other mandatory authorisation, the Student is prohibited from engaging in such activities regardless of having completed the course. During the course, independent practical work with other people is not permitted, except where the Provider has expressly authorised the Student in writing (including electronically) to undertake limited work with specific individuals solely for educational purposes and to gain practical experience before certification. Such permission is an exception to the general rule, is not general in nature and must not be construed as a right to engage in professional or systematic activities. If this clause is breached, the Provider may unilaterally terminate the Student’s access to the course without compensation or refund of the amounts paid. 10.14. Any act of aggression, threats, serious breach of the rules or disrespectful behaviour constitutes grounds for immediate removal without a refund. 10.15. The terms for using the knowledge acquired in the “5D Regeneration Method Expert” course include the following provisions: By purchasing the “5D Regeneration Method Expert” course, you acquire the right to deliver lectures for both commercial and non-commercial purposes, online and in person. 10.16. The Student undertakes to observe the boundaries of interaction with the Provider’s team. The following constitute a breach: - excessively frequent messages (more than 5 within 1 hour without a response); - demanding an immediate response outside the established support format; - insisting on intervention by the owner or leading specialists without any grounds; - systematically disparaging the programme, instructors and method in communications. - Consultations are provided within the selected Pricing Plan and are time-limited (on average, 20–40 minutes). A consultation includes visual assessment for educational purposes and recommendations for completing the programme. All additional requests beyond the scope of the consultation (repeat assessments, clarifications, urgent support and unscheduled correspondence) shall be paid for separately. - exceeding the established scope of a consultation. A consultation included in the Pricing Plan is time-limited (on average, 20–40 minutes) and includes visual assessment for educational purposes, consideration of the participant’s request and recommendations for completing the programme. Repeat enquiries, clarifications outside the allotted time, requests for additional feedback, urgent intervention or personal support beyond the consultation are considered outside the scope of the paid Pricing Plan and require separate payment. Systematic breach of this rule may be regarded as psychological pressure that violates the conditions for safe interaction and business ethics and shall result in removal without a refund. You are permitted to: Integrate knowledge: Use the knowledge and insights acquired during the course in your own educational programmes and courses, provided that you do not copy the content verbatim or resell it as a standalone product. However, the following restrictions apply: 1) Non-transferability of expert status: You may not appoint or authorise other persons as experts in the 5D Regeneration method. 2) Prohibition on video resale: Reselling, distributing or reusing Provider original video materials is strictly prohibited. 3) Copyright in the method: You may not claim to be the founder or creator of the 5D Regeneration method. 4) If the Student breaches confidentiality obligations or intellectual property rights, unlawfully uses materials or elements of the “5D Regeneration” method, or creates or sells their own courses, educational programmes or other commercial products using knowledge of the “5D Regeneration” method at a price below the established minimum price (USD 200), the Student shall incur the following liability: a penalty of UAH 500,000 (five hundred thousand hryvnias) for each breach, regardless of whether any losses were incurred or their amount. In addition to paying the penalty, the Student shall compensate the Provider for all additional losses, including, without limitation: lost profits or shortfalls in profits; potential reputational losses; the costs of legal protection and restoration of infringed rights. The Parties acknowledge that the specified penalty is fair and proportionate to the potential consequences of a breach. 5) Applying knowledge of the 5D method to third parties before completing the training is also prohibited unless the Provider has personally given consent. Breach of this rule shall result in immediate removal from the course without a refund and may result in a penalty. LIABILITY 11.1. If the Parties breach their obligations, provide inaccurate information or commit other violations, they shall be liable in accordance with applicable law. 11.2. The Provider shall not be liable for an inability to provide services for reasons beyond its control (force majeure, technical failures, etc.). 11.3. The Provider does not guarantee that the Student will achieve specific results in the course of service provision. 11.4. The Student shall be liable for: Unlawful use of materials provided during service provision for the purpose of their subsequent resale, distribution or transfer to third parties. Dissemination of false information about the Provider that damages its business reputation. Other breaches of the terms of this Agreement. 11.5. If the Student breaches the terms of this Agreement, they shall compensate the Provider for all losses incurred in satisfying claims by third parties (whose rights were infringed by the Student). The Provider reserves the right to bring recourse claims against the Student for reimbursement of losses and other expenses. 11.6. If the Student breaches the payment terms for the services, the Provider may unilaterally terminate the Agreement and restrict (block) the Student’s access to the Learning Materials, the Platform, etc. 11.7. The Student agrees that, in the event of a breach of the terms, they will be unable to use the Provider’s services in the future unless otherwise agreed by the Parties, and the amounts paid will not be refunded. 11.8. Breaches may be recorded through screenshots, technical means, data on third-party access to the Platform or any other reasonable means. Whether the Student has breached the rules of conduct shall be determined according to generally accepted standards of ethical communication and the Provider’s subjective assessment, of which the Student is aware and to which the Student agrees. 11.9. If services are not provided due to the Provider’s fault for more than 30 (thirty) calendar days from the agreed service commencement date, the Provider shall refund the amount paid within 10 (ten) calendar days on the basis of the Student’s written request, unless otherwise agreed by the Parties. 11.10. The Student agrees that the Provider’s liability in respect of any lawsuits or claims shall be limited to the price of the service purchased. 11.11. If the Student has paid for services but has not received them for reasons beyond the Parties’ control, those funds may be credited towards future payments for services to be provided by the Provider or refunded at the Student’s request. 11.12. The Provider shall not be liable for participants’ statements and opinions posted as comments. The Provider shall also not be liable for any unlawful actions by participants against third parties or by third parties against participants. 11.13. Personal support does not entail daily communication, consultations on all aspects of life or constant prompt responses to every situation. Matters involving complaints, illnesses, a marked deterioration in well-being, acute pain or other conditions requiring medical assessment fall outside the scope of educational support and must be addressed independently by the Student with their treating physician. All primary communication takes place through the course chat. Individual matters relating to visual feedback and recommendations for completing the programme are discussed as part of personal support, if personal support is included in the course or participation package paid for by the Student. 11.16. No information, materials or consultations provided by the Provider may be regarded as a guarantee. No claims concerning the effectiveness of the Student’s use of the services received may be brought against the Provider. All risks and responsibility for the use of the information received and for the results rest entirely with the Student. 11.17. Lack of knowledge of the public offer does not release a person from liability for breaching it. 11.18. By starting the training, the Student confirms acceptance of this public offer and undertakes to comply with it. PERSONAL DATA 12.1. The Parties consent to the processing and storage of personal data that become known to them in connection with the conclusion of this Agreement, to the extent necessary to fulfil its terms, in accordance with Ukrainian law. 12.2. The Student voluntarily consents to the collection, processing and storage of personal data by the Provider (directly, with the involvement of third parties and/or through third-party services) for an unlimited period. Personal data may be transferred to third parties to fulfil obligations under the Agreement or pursue the Provider’s legitimate interests. 12.5. The Student authorises the Provider to record and retain telephone calls and messages relating to service provision. FORCE MAJEURE 13.1. The Parties shall be released from liability for partial or total failure to perform their obligations under this Agreement if such failure results from force majeure circumstances arising after the Agreement is concluded and preventing its performance. Such circumstances include, without limitation: technological, natural or environmental emergencies; natural disasters; failures in power supply systems; prolonged loss of electricity or Internet access; deterioration in the Provider’s health; hostilities; civil unrest; actions of public authorities; and acts directly affecting the Parties’ ability to fulfil the terms of the Agreement. 13.2. A Party affected by force majeure shall notify the other Party immediately and, in any event, no later than within two days. Failure to provide timely notice or proper documentary evidence of the circumstances shall deprive the affected Party of the right to rely on them. 13.3. The time for performance of obligations under the Agreement shall be extended for the duration of the force majeure circumstances. If such circumstances continue for more than two months, the Parties shall agree on how to proceed with the Agreement. OTHER PROVISIONS 14.1. The Agreement shall remain in effect for the service period, unless another term is agreed by the Parties or provided for by applicable law. The Provider’s copyright shall remain in effect throughout their lifetime and for 70 years after their death. 14.6. Evidence of an expression of intent and the affixing of an SES includes, in particular: inserting a graphic image of a signature; signing with a stylus/mouse; entering a typed full name in the signature line; ticking a consent checkbox; and other technical actions that unambiguously identify the signatory. The Parties shall not challenge the validity of an electronic document solely on the grounds that it lacks a qualified electronic signature (QES) or an enhanced signature.
